Terms of Use for Miller Electric’s Miller Bucks Program

These terms (the “Terms of Use”) describe the terms and conditions governing Miller Electric Mfg Company’s (“Miller Electric”) Miller Bucks Program, which provides participants with rewards for selling and registering selected Miller Electric products to customers (the “Program”). Your participation in the Program constitutes your agreement to be bound by these Terms of Use and the terms of use and privacy policy of www.millerwelds.com. The Program and its benefits are provided to you at the discretion of Miller Electric, and Miller Electric may change or limit any aspect of the Program or change these Terms of Use at any time. Your eligibility for this Program is subject to Miller Electric’s final determination and acceptance.

Eligibility

The Program is open only to employees of authorized Miller distributors. The Program is void where prohibited by law.

Participating in the Program / Rewards

For each Miller Electric product you sell to a customer, you may earn “Miller Bucks.” Miller Bucks are not redeemable for cash value, and have no cash value. In order to earn Miller Bucks, you must sell a numbered Miller or Hobart product (each, a “Product”). After you make a sale, you must register the sale via the Distributor Extranet at www.ITWwelds.com (the “Website”), Please note that a Product is not eligible for the Program if it is sold for resale, rental or is reconditioned, or if it already been registered by another employee of an authorized distributor. It is a condition of this Program that all information you enter via the Website is current, accurate and complete. To register a Product on the Website, you must enter the following information on the Website: the customer’s information, including his or her name, company name, address, phone number, and type of business; and the serial number or other identifying number of the Products. All information you enter will be kept strictly confidential by Miller Electric and will not be shared with any third party.

It will take 10-14 days to process your Product registration, and the Website will update the amount of Miller Bucks you have regularly. Once registered on the Website, Miller Bucks do not expire. You may use Miller Bucks to purchase designated merchandise. All purchases must be made via the Website.

Previously Earned Miller Bucks

Previously earned paper Miller Bucks expired December 31, 2012.

Pooling Miller Bucks

You may pool Miller Bucks with your company as a whole. If you wish to pool your Miller Bucks, you should either notify Miller Bucks Administrator at 1-888-489-3787 or email Bucks@millerwelds.com. You will need to register all products under one individual’s name. If your company decides to pool its Miller Bucks, and if you leave the company, the Miller Bucks will remain with the company, and you will not be entitled to any compensation in any form.

Redeeming Miller Bucks

You may view reward descriptions, images and point values on the Website. Rewards may be added, deleted, or substituted at any time at the sole discretion of Miller Electric. You may supplement your Miller Bucks with personal monetary funds if you do not have sufficient points to purchase a certain reward. Miller Electric reserves the right to increase or decrease the value of any reward at any time, without notice. Accidental typographical errors sometimes occur in reward descriptions and values. In this event, Miller Electric reserves the right to notify you of the correct description or value before the reward is shipped. Please allow 4-6 weeks for shipping a reward.

Credits and Returns

All claims for non-receipt of merchandise, damaged goods or merchandise shortages must be reported within 10 days. Exchanges for program items must be made within 10 days. Freight charges for returned merchandise, except due to damaged or defective goods will be the responsibility of the customer.

All returns must be approved in advance. Call or e-mail customer service, 920-779-9560 millerwelds@foxcitiesembroidery.com, for RMA (Returned Merchandise Authorization) number.

You expressly agree that your use of the Program is at your own risk. The Program, the Website, and all information, materials, products and services provided therewith (the “Materials”) are provided on an “as is” and “as available” basis. MILLER ELECTRIC DOES NOT WARRANT THE ACCURACY, ADEQUACY OR COMPLETENESS OF THE MATERIALS AND EXPRESSLY DISCLAIMS LIABILITY FOR ERRORS OR OMISSIONS IN THE MATERIALS. MILLER ELECTRIC MAKES NO WARRANTY OF ANY KIND AND EXPRESSLY DISCLAIMS ALL WARRANTIES WITH RESPECT TO THE MATERIALS AND WEBSITE, INCLUDING ANY IMPLIED, EXPRESS OR STATUTORY WARRANTY, INCLUDING, BUT NOT LIMITED TO A WARRANTY THAT THE MATERIALS WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS AND WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, TITLE AND NON-INFRINGEMENT. MILLER ELECTRIC ALSO DOES NOT WARRANT THAT THE MATERIALS WILL BE FREE FROM COMPUTER VIRUSES, OR THAT THE MATERIALS WILL BE UNINTERRUPTED, TIMELY OR ERROR FREE.

No advice or information, whether oral or written, obtained by you from the Program shall create any warranty not expressly made herein.

If for any reason the Program is not capable of running as planned, including any tampering, unauthorized intervention, fraud, technical failures, or other causes which corrupt or affect the administration, fairness, integrity or proper conduct of the Program, Miller Electric reserves the right at its sole discretion, to terminate, modify, or suspend the Program.

Disputes

You agree that: (1) any and all disputes, claims, and causes of action arising out of or in connection with the Program shall be resolved individually, without resort to any form of class action, and any judicial proceeding shall take place in a federal or state court in Wisconsin; (2) any and all claims, judgments, and awards shall be limited to your actual out-of-pocket costs incurred, including costs associated with entering the Program, but in no event attorneys’ fees; and (3) under no circumstances will you be permitted to obtain awards for, and you hereby waive all rights to claim, punitive, special, incidental, and consequential damages, and any other damages, other than for actual out-of-pocket expenses, any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Terms of Use, or the rights and obligations of you and Miller Electric in connection with the Program, shall be governed by, and construed in accordance with the laws of the State of Wisconsin, without giving effect to any choice of law or conflict of law rules or provisions.

Suspension/Termination of Program or Your Participation

The Program, and/or your enrollment in or use of the Program may be terminated or suspended in whole or in part at any time for any reason with or without prior notice to you. Miller Electric may terminate or suspend your participation in the Program, or your use of the Program for any reason, including if you attempt to misuse the Program. Miller Electric shall be the sole determiner in cases of suspected abuse, fraud, or violation of these Terms of Use. Any decision it makes relating to termination of participation in the Program shall be final.

Taxes

Any and all taxes are your sole responsibility. If you redeem merchandise of $600 or greater in a year, you will be required to provide your tax identification number to Miller Electric.
